AI agents for operations leaders in capital markets in Nigeria

What AI agents can do for capital markets operations in Nigeria on dividend mandates, share transmissions and investor flows under SEC Nigeria rules.

Unclaimed dividends, duplicate shareholder accounts, share transmissions after a holder's death and foreign investors' capital flows make up most of the work at Nigerian registrars, brokers and custodians. AI agents can match records, read scanned documents and draft transfers. People approve anything that moves shares or money. SEC Nigeria and the CBN supervise.

What do capital markets operations leaders in Nigeria spend their time on?

Dividends are the largest load for registrars. Many shareholders bought shares decades ago, moved house, changed banks or never registered for electronic payment, so dividends go unclaimed. Operations works through mandate applications, verifies the shareholder's identity and bank details, and pays accumulated dividends once the record is clean.

Duplicate accounts are the second. A single investor may hold shares under several accounts with variations of their name, from different offers over the years. Consolidating them requires matching identities carefully and getting the investor's instruction.

Third, documents. Transmission of shares to heirs after a shareholder dies depends on probate papers, letters of administration and court documents, often arriving as paper or scans. Custodians serving foreign portfolio investors handle a different stream: documentation of capital brought into the country so that it can later be repatriated, and the FX conversions that go with it.

Where can AI agents help?

  • Mandate matching (depth 2). The agent compares an e-dividend mandate application with the shareholder register, the identity verification result and the bank account confirmation, and drafts the update. A person approves before any payment.
  • Duplicate account detection (depth 1). The agent searches the register for accounts likely to belong to the same person, using names, addresses, identity numbers and past correspondence, and lists candidates with the evidence. The investor's instruction and a person's approval are needed to consolidate.
  • Transmission document intake (depth 2). The agent reads scanned probate papers and court documents, extracts the deceased's details, the administrators and the beneficiaries, and drafts the transmission file with gaps. Our playbook on processing incoming post and scanned documents with an AI agent covers the intake steps.
  • Capital importation records (depth 2). For custodians, the agent matches inbound funds to the investor, the trade and the documentation, and drafts the record needed for later repatriation.

Each use stops before money or shares move. The agent's value is in clearing the backlog of matching and reading; release stays with people. The guide to deploying AI agents: train, shadow, certify, widen explains how to widen authority only when evidence supports it.

What stays with people?

Paying accumulated dividends, consolidating accounts and transferring shares to heirs all move value and are hard to reverse. Fraudsters target dormant shareholdings with forged documents. Every one of these actions stays with a named person.

Judging whether a probate document is genuine, or whether two accounts truly belong to one person, needs human judgement and sometimes verification with the court or the investor directly.

FX transactions for foreign investors, and any engagement with SEC Nigeria or the CBN, stay with authorised staff.

Which rules apply in Nigeria?

SEC Nigeria registers and supervises capital market operators, including registrars, stockbrokers, custodians and fund managers. Its rules govern shareholder records, dividend payment, transmission of shares, client asset protection and operators' controls. The Central Bank of Nigeria regulates foreign exchange, including the documentation and repatriation of foreign portfolio investment, and supervises banks acting as custodians.

AML/CFT duties follow the FATF Recommendations, including identification of investors and beneficial owners. The Nigeria Data Protection Act 2023, enforced by the Nigeria Data Protection Commission, governs shareholders' and heirs' personal data, including identity numbers and bank details: lawful basis, purpose limitation, security and rights.

Nigeria has no AI-specific law, so operators must apply these rules and the regulators' general expectations on technology and outsourcing to their agents.

This is an explanation of the rules, not legal advice; confirm how they apply to you with counsel.

How should a Nigerian operator start?

Weeks 1 to 4: choose duplicate account detection. The agent reads and lists; nothing moves. It clears a backlog that people rarely have time for. Name the owner of the register.

Weeks 5 to 8: replay the agent on accounts your team already consolidated. Count missed duplicates and false matches, especially among common names.

Weeks 9 to 13: certify at depth 1, then shadow mandate matching. Before going live, run a tabletop exercise on what happens if the agent proposes a mandate update on forged documents; our guide on running a tabletop exercise for an AI agent failure shows how. Where Pryme fits

In Pryme, a scanned probate document is external until verified, and the transmission agent cannot treat it as authority to move shares. It drafts the file and holds it for a named person, and every verdict is filed so the registrar can show how each transmission was handled.

Questions people ask

Can the agent verify probate documents?

It can check internal consistency and flag anomalies such as mismatched names or dates. Confirming authenticity may need verification with the issuing court, which a person arranges.

How does the agent handle Yoruba, Igbo or Hausa names with varied spellings?

It should be certified on your register's real name variations. Where matching depends on spelling alone, it lists the candidate for a person.

Should the agent contact shareholders directly?

It can draft letters and messages for approval. Direct contact about dormant holdings is a fraud risk area and should go through verified channels.

Decide what your agents may do. Prove it. Enforce it.
